These Terms constitute a legally binding agreement between you and QuantumCompass LLC ("Company," "we," "us," or "our"), a limited liability company.

QuantumCompass LLC is not a registered investment adviser under the Investment Advisers Act of 1940, nor under any state securities laws. The Platform provides financial data screening tools, quantitative scoring models, and analytical frameworks for informational and educational purposes only.

By using the Platform, you expressly acknowledge and agree that:
All investing involves substantial risk of loss, including the possible loss of the entire amount invested. Past model performance does not guarantee future results.
Merger arbitrage strategies involve significant risks including deal termination, regulatory rejection, financing failure, adverse court rulings, and changes in market conditions.
The intrinsic value estimates, probability calculations, and composite scores generated by the Platform are outputs of quantitative models based on historical financial data. These models contain assumptions that may prove incorrect.
Financial data sourced from third-party providers may contain errors, omissions, delays, or inaccuracies. QuantumCompass LLC does not guarantee the accuracy, completeness, or timeliness of any data displayed on the Platform.
You assume full and sole responsibility for all investment decisions made in reliance on information obtained from the Platform.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QUANTUMCOMPASS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO TRADING LOSSES, LOST PROFITS, OR LOSS OF DATA.
IN NO EVENT SHALL THE TOTAL LIABILITY OF QUANTUMCOMPASS LLC EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU IN THE THIRTY (30) DAYS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
You agree to indemnify and hold harmless QuantumCompass LLC and its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of your use of the Platform, any investment decision made in connection with information from the Platform, or your violation of these Terms.
The Platform offers free and paid subscription tiers. Free trials are provided for a 14-day period with full Analyst tier access. At the end of the trial, your subscription will convert to the Observer (free) tier unless you have provided payment information and selected a paid plan. Paid subscriptions are billed monthly in advance via Stripe. You may cancel at any time; cancellation takes effect at the end of the current billing period.
You agree not to use the Platform for any unlawful purpose, redistribute Platform data without permission, reverse engineer the Platform's algorithms, or use the Platform to engage in market manipulation.
All content, algorithms, and software comprising the Platform are the exclusive property of QuantumCompass LLC. You are granted a limited, non-exclusive license to access and use the Platform for personal investment research purposes.
These Terms shall be governed by the laws of the State of [YOUR STATE]. Any dispute shall be resolved by binding arbitration in [YOUR CITY, STATE]. You waive any right to a jury trial or class action participation.
We reserve the right to modify these Terms at any time with reasonable notice to registered users. Continued use after changes constitutes acceptance.
